Terms of Use


Effective Date: October 13, 2025
 

1) Acceptance of Terms

These Terms of Use (the “Terms”) govern your access to and use of https://i3-nirf.com/ and any related pages, portals, forms, downloads, and services we make available (collectively, the “Site”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.


2) Who We Are

The Site is operated by Intravascular Imaging Inc. (i3), a Connecticut, USA company located at Connecticut, USA (“Company,” “we,” “us,” or “our”). You can contact us at rsjones@i3-nirf.com.


3) Eligibility & Accounts

  • You must be at least 18 (or the age of majority where you live) to use the Site.
     
  • If the Site offers registration, you must provide accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account.
     
  • We may, in our discretion, suspend or terminate access for any reason, including breach of these Terms.
     

4) Permitted Use & Prohibited Conduct

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Reverse engineer, copy, or create derivative works from the Site or its content except as permitted by law.
     
  • Upload or transmit malware, attempt to gain unauthorized access, or interfere with security features or Site operations.
     
  • Post or transmit content that is unlawful, misleading, defamatory, obscene, infringing, or otherwise objectionable.
     
  • Submit patient health information (PHI) or other sensitive personal data through general contact forms or email.
     
  • Use the Site for advertising, spamming, or solicitation not expressly authorized by us.
     

5) No Medical Advice; Emergency Disclaimer

  • Informational only. Content on the Site is for general informational and educational purposes and is not medical advice or a substitute for professional judgment. Users should consult qualified healthcare professionals regarding diagnosis or treatment decisions.
     
  • No emergencies. The Site is not for emergency use. If you have a medical emergency, call local emergency services immediately.
     

6) Research & Regulatory Status; Geographic Availability

  • Investigational / regulatory notices. Some products, features, or claims described on the Site may be investigational, may not be cleared/approved by the U.S. FDA or other regulators, or may not be available in all jurisdictions. Statements on the Site are not intended to promote off‑label use.
     
  • Availability. Any reference to products or services does not imply they are available or lawful in your location. Check local regulatory requirements and availability.
     

7) Intellectual Property

  • The Site and its content, including text, graphics, logos, icons, images, audio, video, data, software, and compilations (the “Content”), are owned by Company or our licensors and are protected by intellectual property laws.
     
  • You are granted a limited, revocable, non‑exclusive, non‑transferable license to access and use the Site for personal or internal business use. All rights not expressly granted are reserved.
     
  • Any trademarks, service marks, and logos displayed are the property of Company or third parties. You may not use them without prior written permission.
     

8) User Submissions & Feedback

  • If you submit ideas, suggestions, feedback, or other materials (collectively, “Feedback”), you grant Company a perpetual, worldwide, royalty‑free, irrevocable license to use, reproduce, modify, and exploit the Feedback without restriction or attribution.
     
  • Do not submit confidential information, patient data, or third‑party proprietary materials without authorization.
     

9) Third‑Party Links & Services

The Site may contain links to third‑party websites or services. We do not control, endorse, or assume responsibility for third‑party content, products, or policies. Your use of third‑party sites is at your own risk and subject to their terms.


10) Privacy

Your use of the Site is subject to our Privacy Policy, which explains how we collect, use, disclose, and safeguard data. By using the Site, you consent to our data practices as described in the Privacy Policy.


11) Disclaimers

  • AS IS. The Site and Content are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non‑infringement.
     
  • We do not guarantee that the Site will be uninterrupted, secure, error‑free, or free of viruses or other harmful components, or that defects will be corrected.
     
  • We make no warranty regarding the accuracy, completeness, timeliness, or reliability of any Content.
     

12) Limitation of Liability

To the maximum extent permitted by law, Company and its affiliates, officers, directors, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or reputational harm, arising out of or relating to your use of (or inability to use) the Site, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Site will not exceed US $100 or the amount you paid (if any) to use the Site in the 12 months preceding the claim, whichever is greater.


13) Indemnification

You agree to defend, indemnify, and hold harmless Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any law or third‑party rights.


14) Export, Sanctions & Anti‑Corruption

You may not use, export, or re‑export the Site or any Content in violation of applicable export laws and regulations, including those administered by the U.S. Department of Commerce and the U.S. Department of the Treasury. You agree to comply with anti‑corruption and anti‑bribery laws, including the U.S. FCPA.


15) Changes to the Site or Terms

We may update the Site or these Terms at any time. Changes are effective when posted on the Site with the “Effective Date” updated. Your continued use constitutes acceptance of the revised Terms.


16) Term & Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason. Upon termination, the license in Section 7 ends and you must cease use of the Site. Sections that by their nature should survive (including IP, disclaimers, limitations, indemnification, and dispute terms) will survive termination.


17) Governing Law & Venue

These Terms are governed by the laws of State of Connecticut, USA, without regard to conflict of law rules. You agree to the exclusive jurisdiction and venue of the courts located in Connecticut, USA for any disputes not subject to arbitration.
 

18) Additional Terms for Healthcare Professionals

If portions of the Site are intended for healthcare professionals (HCPs), you represent that you are an HCP and will use the Site in compliance with applicable laws, professional standards, and industry codes (e.g., AdvaMed Code, anti‑kickback rules). Marketing or educational content is not a substitute for independent medical judgment.


19) Product Inquiries & Off‑Label Restrictions

Do not submit patient cases or PHI through general Site forms. Product information on the Site is not intended to promote off‑label uses. For product indications, contraindications, warnings, and instructions for use, refer to the official labeling and documentation provided by Company.


20) Careers & Submissions

If you apply for a job through the Site, you authorize Company to process your application data consistent with our Privacy Policy. You represent that submitted materials are accurate and do not infringe third‑party rights.


21) Miscellaneous

  • Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and Company regarding the Site and supersede prior or contemporaneous communications.
     
  • Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue in full force.
     
  • No Waiver. Failure to enforce a provision is not a waiver.
     
  • Assignment. You may not assign or transfer your rights without our prior written consent; we may assign our rights and obligations as part of a merger, acquisition, or asset transfer.
